Public
companies have been complying with recently adopted rules the SEC has
imposed as part of its implementation of the Sarbanes-Oxley Act of
2002. Regulation G
consists of three new rules that obligate conditions on the disclosure
of non-GAAP financial measures released by public companies.

compliance. The SEC
suggests that the press release earnings announcement should include
the location on the Company website where financial information to be
covered during the call will be posted.
The Vcall webcast alert includes a link to the Company-specific

client page provides a link to the Company IR webpage, links to
previous Vcall webcast events, broker research, SEC filings and
earnings data.
The
SEC also recommends companies issue an earnings press release that
summarizes results of the previous quarter prior to the earnings call
being held. During the
call, a company should again state the website location where non-GAAP
measures are posted. Vcall
provides the earnings press release on the client page for investors
to review while the call is taking place.
Companies can display GAAP and non-GAAP financial
reconciliations on PowerPoint slides, which can be made visible to the
investor audience at the time of the webcast.
Companies are encouraged to make the non-GAAP disclosures
available for a minimum of 12 months through the posted earnings press
release or an archived webcast earnings call.
